Acceptance of Terms

By accessing or using SmartHome Pro services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and SmartHome Pro ("Company," "we," "us," or "our"), concerning your access to and use of our services, including our website, mobile applications, and smart home installation and monitoring services.

1.1 Binding Agreement

By accessing or using any part of our services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree to all of these Terms, then you are expressly prohibited from using our services and you must discontinue use immediately.

1.2 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

1.3 Electronic Agreement

This agreement is an electronic contract that sets out the legally binding terms of your use of our services. You acknowledge and agree that by clicking "I Agree" or by using our services, you are entering into a legally binding contract.

Definitions
  • "Services" refers to all services provided by SmartHome Pro including installation, consultation, monitoring, and maintenance.
  • "Content" means text, images, audio, video, and all other forms of data or communication.
  • "User" refers to any individual or entity that accesses or uses our services.

Services Description

SmartHome Pro provides comprehensive smart home automation services including but not limited to:

Installation Services

Professional installation of smart home devices including security systems, lighting controls, climate systems, and IoT networks.

Monitoring Services

24/7 monitoring of security systems with real-time alerts and emergency response coordination.

Support Services

Technical support, maintenance, and troubleshooting for all installed smart home systems.

Mobile Applications

Mobile apps for controlling and monitoring your smart home systems remotely.

2.1 Service Limitations

Our services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We are not responsible for any delays, delivery failures, or other damage resulting from such problems.

2.2 Service Modifications

We reserve the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.

2.3 Third-Party Services

Our services may integrate with or provide links to third-party services. We do not control and are not responsible for third-party services. Your use of third-party services is at your own risk.

Important Service Note

Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free service. Service availability may vary based on location, network conditions, and other factors beyond our control.

User Responsibilities

As a user of SmartHome Pro services, you agree to the following responsibilities:

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Compliance with Laws

You agree to comply with all applicable laws, rules, and regulations in connection with your use of our services.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Attempting to bypass or break any security mechanisms
  • Using the services for any illegal purpose
  • Interfering with other users' enjoyment of the services
  • Reverse engineering or decompiling any portion of our software

3.1 Age Requirements

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you are at least 18 years of age.

3.2 Installation Access

For installation services, you agree to provide our technicians with safe and reasonable access to your property during scheduled appointment times.

Payments & Billing

Payment Terms

All services are billed according to the pricing terms agreed upon at the time of purchase. Payment is due upon completion of services unless otherwise arranged.

Recurring Billing

For subscription services, you authorize us to charge your payment method on a recurring basis until you cancel your subscription.

Cancellation Policy

You may cancel subscription services with 30 days written notice. Installation services may be subject to cancellation fees.

4.1 Pricing Changes

We reserve the right to adjust pricing for our services at any time. We will provide you with at least 60 days' notice of any price changes affecting your subscription.

4.2 Taxes

All prices are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties.

4.3 Refund Policy

Refunds are issued at our sole discretion. Installation services are generally non-refundable once work has commenced. Subscription services may be refunded on a prorated basis.

Intellectual Property Rights

The services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SmartHome Pro, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Copyright

All content on our website and mobile applications is protected by copyright laws. You may not reproduce, distribute, or create derivative works without our permission.

Trademarks

The SmartHome Pro name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SmartHome Pro or its affiliates or licensors.

Software License

We grant you a limited, non-exclusive, non-transferable, revocable license to use our software for personal, non-commercial purposes in accordance with these Terms.

5.1 User Content

You retain ownership of any content you submit through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of providing our services.

5.2 Feedback

If you provide us with any feedback or suggestions regarding our services, you grant us an unlimited, irrevocable, perpetual, royalty-free license to use such feedback for any purpose.

Limitation of Liability

Important Disclaimer

To the maximum extent permitted by applicable law, in no event shall SmartHome Pro, its affiliates, directors, employees, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of our services.

6.1 No Warranties

The services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2 Limitation of Damages

In no event shall our total liability to you for all damages exceed the amount you have paid to us in the last twelve (12) months, or one hundred dollars ($100), whichever is greater.

6.3 Essential Purpose

You acknowledge and agree that the limitations of liability set forth in this section are an essential basis of the bargain and that we would not provide the services to you without such limitations.

Excluded Damages

We are not liable for any damages resulting from:

  • Your failure to comply with these Terms
  • Content posted by other users
  • Third-party services or products
  • Events beyond our reasonable control
  • Unauthorized access to your account
  • Changes to or discontinuation of our services

Termination

User Termination

You may terminate your account at any time by contacting us at accounts@smarthomepro.com. Termination will be effective within 30 days of our receipt of your request.

Company Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.

7.1 Effect of Termination

Upon termination, your right to use the services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7.2 Data Retention

Following termination, we may retain your information for a reasonable period for backup, archival, or audit purposes, or as required by law.

Dispute Resolution

Informal Resolution

We strongly encourage you to first contact us directly to seek a resolution by emailing legal@smarthomepro.com.

Mediation

If informal resolution fails, both parties agree to attempt mediation through a mutually agreed-upon mediator before pursuing arbitration.

Arbitration

Any disputes arising under these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

Court Proceedings

If arbitration fails, any legal proceedings shall be brought exclusively in the federal or state courts located in San Francisco County, California.

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

8.2 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

8.3 Time Limitation

You agree that any cause of action arising out of or related to the services must commence within one (1) year after the cause of action accrues.
